Terms of Service

1. Agreement to these terms

By creating an account or using RankVault (the "Service"), operated by MB SRDS (registration code 304146906, VAT LT100010314814, "MB SRDS", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including users of the free trial and paid subscriptions.

2. Definitions

  • "Service" means the RankVault application, including the website, dashboard, API, and all related features.
  • "User", "you" means the individual or entity that creates an account and uses the Service.
  • "Content" means blog posts, social media posts, captions, hashtags, images, and other materials generated by RankVault for you.
  • "Connected Platforms" means third-party services you connect to RankVault, such as WordPress, Instagram, Facebook, and Google Search Console.
  • "Subscription" means your paid plan for ongoing access to the Service.
  • "Auto-Reply" means the optional feature where RankVault automatically generates and posts replies to comments on your connected Facebook Page or Instagram Business account.

3. Account registration

To use the Service, you must create an account by providing your name, email address, and a password, or by signing in with your Google account through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must be at least 18 years old to create an account. By registering, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

You must provide accurate and complete information during registration and keep your account details up to date. Email verification is required to activate your account.

4. Free trial

New users receive a 14-day free trial with full access to the Service.

  • The trial begins when you create your account.
  • The trial lasts 14 calendar days.
  • At the end of the trial, your account pauses automatically. No charges are applied.
  • To continue using the Service, you must provide a payment method and start a paid Subscription.
  • We reserve the right to modify or discontinue the free trial offer at any time for new users.

5. Subscription and billing

The Pro plan costs EUR 49 (forty-nine euros) per month plus applicable VAT, billed in advance. Tax is calculated automatically based on your billing address.

  • Payment processing: payments are processed by Stripe. We do not store your full card details on our servers.
  • Billing cycle: your Subscription renews automatically every month on the date you first subscribed, unless you cancel before the renewal date.
  • Payment method: you must provide a valid payment method. Your payment method will be charged automatically at the beginning of each billing cycle.
  • Promotion codes: we may offer promotion codes from time to time. These are applied at checkout through Stripe.
  • Billing management: you can update your payment method, view invoices, and manage billing through the Stripe Customer Portal accessible from your RankVault dashboard.
  • Price changes: we may change the Subscription price with at least 30 days' notice. If you do not agree to the new price, you may cancel before it takes effect.
  • Annual billing: available on request with a discount. Contact us at [email protected].

6. Cancellation

You can cancel your Subscription at any time through the Stripe Customer Portal accessible from your RankVault dashboard. No phone call, email, or justification is required.

  • Upon cancellation, your Subscription remains active until the end of the current billing period.
  • No further charges will be applied after cancellation.
  • Content already published to your Connected Platforms remains yours and stays published.
  • Your account data and unpublished content will be deleted within 30 days of cancellation.
  • Disconnected platform integrations will have their access tokens deleted immediately.

7. Refunds

Because we offer a 14-day free trial, we expect you to evaluate the Service before subscribing. Refunds are handled on a case-by-case basis. If something is genuinely wrong with the Service, contact us at [email protected] and we will work with you to resolve the issue, which may include a refund or account credit.

8. Pause and quiet mode

You may pause your account at any time (for holidays, seasonal closures, or any other reason). During a pause, no content is generated or published, no social posts are scheduled, and no auto-replies are sent. If you pause for a full calendar month, your billing is adjusted accordingly. 9. How the Service works

RankVault works as follows:

  1. Website scanning: you provide your website URL. We scrape your site using Firecrawl, extracting page content, branding (colours, fonts, logo), and a screenshot.
  2. Brand analysis: the scraped content is analysed by AI (Google Gemini) to determine your industry, description, target audience, value proposition, tone of voice, brand values, and relevant topics.
  3. Keyword research: we query DataForSEO using your domain to retrieve search volume, competition, and keyword data relevant to your business.
  4. Content plan generation: the Service proposes a 30-day content plan including blog post ideas (titles, keywords, meta descriptions) and social media posts (captions, hashtags, time slots). The plan is informed by your brand profile, keyword data, and (if connected) your Google Search Console performance data.
  5. Your approval is required before content is generated. You can approve, edit, or reject individual items in the plan, add your own topics, or block topics you never want covered.
  6. Content generation: after you confirm the plan, the Service generates full blog articles (in markdown) using Google Gemini, and images using OpenAI's image generation models.
  7. Publishing: blog posts are published to your connected WordPress site via the WordPress REST API. Social posts are published to your connected Facebook Page and Instagram Business account via their respective Graph APIs. Publishing happens on a schedule you control, or automatically if you enable auto-posting.
  8. Analytics syncing: if you have connected Google Search Console, Facebook, or Instagram, we sync performance data daily so you can track results in the dashboard.

10. Auto-reply feature

The Service includes an optional auto-reply feature for Facebook Page comments and Instagram Business account comments. When enabled:

  • We receive comment events from Facebook and Instagram via webhooks. Webhook signatures are verified using HMAC-SHA256 to prevent spoofing.
  • The comment text and commenter name, along with your brand profile, are sent to Google Gemini to generate a contextually appropriate reply.
  • The generated reply is posted automatically as a response to the comment on the respective platform.
  • You are responsible for reviewing the auto-reply behaviour and disabling it if the generated replies do not meet your standards.
  • You can enable or disable auto-reply per platform from your dashboard at any time.

11. Content ownership and licensing

  • Your content: all content generated by RankVault for your account belongs to you. We do not claim ownership, licensing rights, or any intellectual property interest in the content we create for you.
  • Your website content: by providing your URL, you grant us permission to scrape and analyse your publicly available website content solely for the purpose of providing the Service.
  • Published content: content published to your Connected Platforms is subject to those platforms' own terms of service. You are responsible for ensuring your content complies with the rules of each platform.
  • Retention after cancellation: all content published before cancellation remains yours. No content is removed from your Connected Platforms when you cancel.

12. Connected platforms

The following platform integrations are currently available:

  • WordPress (self-hosted or WordPress.com): connected via Application Passwords. Blog posts are published through the WordPress REST API.
  • Facebook (Business Pages): connected via Facebook OAuth. Publishing and insights synced through the Facebook Graph API v22.0.
  • Instagram (Business accounts): connected via Instagram OAuth. Publishing and insights synced through the Instagram Graph API.
  • Google Search Console: connected via Google OAuth (separate from sign-in). Analytics data synced through the Google Search Console API. This is a read-only integration.

When you connect a platform, you authorise RankVault to access your account through that platform's official API. OAuth tokens and credentials are encrypted at rest (AES-256-GCM) and stored securely.

You are responsible for:

  • Maintaining valid credentials and access to your Connected Platforms.
  • Ensuring your use of RankVault complies with each Connected Platform's terms of service and API policies.
  • Any content published through your connected accounts, including content generated by RankVault that you approved.

We are not responsible for changes to third-party platform APIs, policies, or terms that may affect publishing functionality.

13. Acceptable use

You agree not to use the Service to:

  • Generate or publish content that is illegal, harmful, defamatory, discriminatory, or infringes on the intellectual property rights of others.
  • Mislead, deceive, or impersonate individuals or organisations.
  • Manipulate search engine rankings through black-hat SEO techniques, including link schemes, keyword stuffing, or cloaking.
  • Violate the terms of service of any Connected Platform.
  • Attempt to reverse-engineer, decompile, or gain unauthorised access to the Service or its infrastructure.
  • Resell or redistribute access to the Service without authorisation (agencies should use the Agencies plan).
  • Generate spam or unsolicited communications.
  • Use the auto-reply feature to harass, spam, or deceive commenters on social media.

We reserve the right to suspend or terminate accounts that violate these acceptable use terms.

14. Service availability

We aim to provide the Service with minimal interruption. However, the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation. We may schedule maintenance windows with reasonable notice. Scheduled or emergency downtime does not entitle you to a refund unless the outage exceeds 24 consecutive hours.

Background processing (website scanning, content generation, image generation, publishing) is handled through a job queue. Delays may occur during periods of high demand. We do not guarantee specific generation or publishing times.

15. Intellectual property

The RankVault name, logo, software, design, and underlying technology are owned by MB SRDS and protected by applicable intellectual property laws. You may not use our trademarks, branding, or proprietary technology without written permission.

16. Limitation of liability

To the maximum extent permitted by applicable law, MB SRDS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, business opportunities, or reputation.

Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.

This limitation of liability applies whether the claim is based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

17. Indemnification

You agree to indemnify and hold harmless MB SRDS, its founders, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Content you approved and published through the Service that violates applicable law or third-party rights.
  • Auto-replies generated and posted on your behalf for comments on your social media accounts.
  • Your violation of any Connected Platform's terms of service.

18. Data protection

Our processing of personal data in connection with the Service is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you also agree to our Privacy Policy.

If you connect third-party platforms and those connections involve personal data (such as comments from your social media followers), you acknowledge that you are the data controller for that data and are responsible for ensuring you have appropriate legal bases and consents in place. This is particularly relevant if you enable the auto-reply feature, which processes comment text and commenter names.

19. Term and termination

These Terms take effect when you create an account and remain in effect until terminated by either party.

  • You may terminate by cancelling your Subscription and closing your account through the dashboard.
  • We may terminate with 30 days' notice for any reason, or immediately if you breach these Terms.
  • Upon termination: your right to use the Service ends. All platform integrations are disconnected and tokens deleted. We will delete your account data within 30 days, except where retention is required by law. Content already published to your Connected Platforms remains yours.

20. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice in the RankVault dashboard at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

21. Dispute resolution and governing law

These Terms are governed by the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may submit the dispute to the competent courts of Lithuania.

22. General provisions

  • Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and MB SRDS regarding the Service.
  • Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: you may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
  • Force majeure: neither party shall be liable for delays or failures in performance caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or major infrastructure failures.
